Heartbeat Platform — Member Access

These Terms of Use govern your access to and use of the Heartbeat Platform.

These Terms apply to all members and users accessing the Platform from any country or jurisdiction worldwide.

1. Eligibility and Account Registration

You may use the Platform if you are a registered member and have agreed to the Membership Agreement, these Terms and the Privacy Policy. You must:

• Provide accurate, current, and complete registration information.

• Keep your login credentials confidential and not share them with others.

• Notify us immediately at hello@futureleadersofcoworking.com if you suspect any unauthorised access to your account.

• Be at least 18 years of age. If you are a corporate member, you must ensure that the users in your organisation are at least 18 years of age.

2. Permitted Use

You may use the Platform solely for lawful purposes and in accordance with these Terms. Permitted uses include:

• Accessing resources, tools, and services made available to members.

• Communicating and collaborating with other members through Platform features.

3. Prohibited Conduct

You must not use the Platform to:

• Violate any applicable local, national, or international law or regulation.

• Transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise

objectionable.

• Attempt to gain unauthorised access to any part of the Platform, its servers, or connected systems.

• Introduce viruses, malware, or any other malicious code.

• Scrape, harvest, or collect data from the Platform without our prior written consent.

• Impersonate any person or entity or misrepresent your affiliation.

• Use the Platform for commercial solicitation or advertising without authorisation.

4. Intellectual Property

All content, software, designs, and materials available on the Platform ("Platform Content") are

owned by or licensed to us and are protected by applicable intellectual property laws worldwide.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform

Content solely for your personal, non-commercial use as a member. You must not reproduce,

distribute, modify, create derivative works from, or commercially exploit any Platform Content

without our prior written permission.

5. User-Generated Content

Where the Platform permits you to submit, post, or share content ("User Content"), you retain

ownership of your User Content and grant us a worldwide, royalty-free licence to use, host, display,

and distribute it for the purposes of operating the Platform.

You represent and warrant that your User Content does not infringe any third-party rights and

complies with all applicable laws. We reserve the right to remove any User Content that we

determine, in our sole discretion, violates these Terms.

6. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these

Terms by reference. We are committed to handling your personal data in accordance with applicable

data protection laws, including the UK GDPR, EU GDPR, CCPA, CPRA PIPEDA and equivalent

legislation in other jurisdictions.

By using the Platform, you acknowledge that your personal data may be processed in countries

other than your own. Where we transfer data internationally, we apply appropriate safeguards in

compliance with applicable law.

7. Security

We implement reasonable technical and organisational measures to protect the Platform and your

data. However, no system is entirely secure, and we cannot guarantee absolute security.

You are responsible for maintaining the security of your devices and credentials used to access the

Platform. You must promptly report any security vulnerabilities or suspected breaches to

8. Availability and Changes

We aim to maintain reliable access to the Platform but do not guarantee uninterrupted or error-free

availability. The Platform may be unavailable from time to time due to maintenance, updates, or

events beyond our control.

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time,

with or without notice. We will endeavour to provide advance notice of material changes where

reasonably practicable.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will meet your requirements, be error-free, or that defects will be corrected. Any reliance on the Platform or its content is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental,

special, consequential, or punitive damages arising out of or related to your use of or inability to use

the Platform.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the

greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) £200 (or

equivalent local currency).

Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by

our negligence, or any other liability that cannot be excluded by law.

11. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or

without notice, if we reasonably believe you have violated these Terms or applicable law.

You may terminate your use of the Platform at any time by contacting us at

hello@futureleadersofcoworking.com. Upon termination, your right to access the Platform will

cease immediately. Provisions that by their nature should survive termination (including intellectual

property, disclaimer, and liability clauses) will continue to apply.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law

principles.

Any dispute shall first be attempted to be resolved through informal negotiation.

If unresolved, disputes shall be settled by binding arbitration in Fulton County, Georgia, unless

prohibited by law.

Members accessing the Platform from other jurisdictions acknowledge that they are responsible for

compliance with local laws and regulations to the extent they apply.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you

via the Platform or by email. Continued use of the Platform after changes take effect constitutes

your acceptance of the revised Terms.

We encourage you to review these Terms periodically. The date of the most recent revision is shown

at the top of this document.
